Growthdeck (“GD”) issued an Information Memorandum (“IM”) in Q4 2016 to raise up to £1.5m of growth capital.
This additional funding is required to grow the investment team, to add additional marketing and business development executives and to increase spend on advertising, PR and other marketing initiatives. The Directors expect this investment to fuel faster growth of the investor base and to facilitate a stronger flow of live investment offers.
We have received strong interest in the offer and are now able to recommend a first close. Status of Offer
We currently have commitments for c£600k and are in ongoing discussions with several other prospective investors.
To date, all pledges have been made on the terms set out in the IM. These terms valued GD at £6m pre-money and offered the prospect of a 6.4x money return and a 59% IRR (9.2x and 74% after allowing for 30% EIS income tax relief).
Other investors have expressed interest in the GD offer, but seek a 20-30% discount to the valuation in the IM if they are to participate in the funding round, which we address below.
Revised Proposal
The Directors now, therefore, believe that a reduced total cash raise of £1m will meet the requirements of the business for the next 12 months and fund the new recruits and increased marketing spend we require to grow the business.
The restructuring of the senior executive team has also resulted in ordinary shares becoming available for purchase at the original (discounted) cost paid 12-15 months ago. This allows us to offer new investors a significantly reduced entry valuation, and potentially higher returns, through a blended new subscription/share purchase package. New Offer
Under the terms of the IM, investors were offered ‘A’ Ordinary Shares in GD which valued GD at £6m pre-new money.

To put the value of these carried interests in context, the Directors estimate that the carries generated from just the next three most likely deal completions, could ultimately be worth c20-25% of an investor’s commitment to this New Offer.
Next Steps
GD now seeks firm commitments for amounts under the New Offer. The minimum investment is £5,000 and in multiples of £1,000 thereafter. A first close of not less than £500k is planned before end of February. ''
